At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at Leonard Curtis & Co, One Great Cumberland Place, London W1H 7LW, on 28 February 2003, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Companies cannot, by reason of their liabilities, continue their businesses, and that it is advisable to wind up the same, and accordingly that the Companies be wound up voluntarily, and that S D Swaden, of Leonard Curtis & Co, One Great Cumberland Place, London W1H 7LW, be and is hereby appointed Liquidator of the Companies for the purposes of such winding-up.” E M Matthews, Director
