LIMITED PARTNERSHIPS ACT 1907

Notice is hereby given that, pursuant to section 10 of the Limited Partnerships Act 1907, on 12 December 2002, Portfolio Investment Holdings LLC transferred to MetLife Private Equity Holdings LLC all of the interest held by it in Bridgepoint Capital No 5 Fund LP (“the Partnership”), a Limited Partnership registered in England with number LP5824, and that with effect from 12 December 2002, Portfolio Investment Holdings LLC ceased to be a Limited Partner and MetLife Private Equity Holdings LLC became a Limited Partner in the Partnership.
