At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Mazars, 19 Goldington Road, Bedford, Bedfordshire MK40 3JY, on 20 December 2002, at 10.00 am, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Martin Dominic Pickard, of Mazars, 19 Goldington Road, Bedford, Bedfordshire MK40 3JY, be appointed as Liquidator of the Company for the purposes of the voluntary winding-up.” T Mooney, Chairman
