At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Clareville House, 26-27 Oxendon Street, London SW1Y 4EP, on 20 June 2002, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that, accordingly, the Company be wound up voluntarily, and that Gerald Maurice Krasner, of Bartfield & Co, Burley House, 12 Clarendon Road, Leeds LS2 9NF, be appointed Liquidator of the Company for the purposes of such winding-up.” R N Storey, Chairman
