At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Cussons House, Bird Hall Lane, Stockport, Cheshire SK3 0XN, on 22 March 2002, at 9.00 am, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that W K Dawson, of Deloitte & Touche, 201 Deansgate, Manchester M60 2AT, be and is hereby appointed Liquidator of the Company.” R A M Smith, Chairman Note.  The Company is not insolvent. All known Creditors have been, or will be, paid in full.
