At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Baker Tilly, 5th Floor, Exchange House, 446 Midsummer Boulevard, Central Milton Keynes MK9 2EA, on 26 February 2002, the following Resolution was duly passed as an Extraordinary Resolution: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily, and that Graham Paul Bushby and Peter John Robertson Souster, of Baker Tilly, 5th Floor, Exchange House, 446 Midsummer Boulevard, Central Milton Keynes, be and are hereby appointed Joint and Several Liquidators for the purposes of such winding-up.” T G Garner, Chairman
