The following written Resolutions of the Members of OIM Limited were passed on 22 January 2002 as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Yvette Diana Croucher of Cadwalader, Wickersham & Taft, be appointed as Liquidator of the Company for the purposes of such winding-up.” K Davis, Secretary
