In the High Court of Justice (Chancery Division) Companies Court.  No 6113 of 2001 In the Matter of NATIONAL MUTUAL LIFE ASSURANCE SOCIETY and in the Matter of GE PENSIONS LIMITED and in the Matter of the Insurance Companies Act 1982 Notice is hereby given that a Petition (the “Petition”) was on 10 October 2001 presented to Her Majesty’s High Court of Justice in England by National Mutual Life Assurance Society (“National Mutual”) for: (1) the sanction of the Court under Part I of Schedule 2C to the Insurance Companies Act 1982 (the “Act”) to a Scheme (the “Scheme”) providing for the transfer to GE Pensions Limited (“GE Pensions”) of the long term business (as defined by section 1(1) of the Act) of National Mutual; and (2) an order making ancillary provision for implementing the Scheme under paragraph 5 of Schedule 2C to the Act. Copies of the Petition, including a print of the Scheme, and a report by an Independent Actuary pursuant to paragraph 2(1) of Schedule 2C to the Act (the “Independent Actuary’s Report”) may be inspected at each of the addresses specified in the Schedule hereto and at the address set out below for the Solicitors for National Mutual during normal business hours for a period of at least 21 days from the first publication of this notice. The Petition is directed to be heard before the Companies Court Judge at the Royal Courts of Justice, Strand, London WC2A 2LL on 18 March 2002. Any person (including any employee of National Mutual or GE Pensions) who alleges that he or she would be adversely affected by the carrying out of the Scheme may appear at the time of the said hearing in person or by Counsel. Any person who intends so to appear, and any member or policyholder of National Mutual who dissents from the Scheme but does not intend so to appear, should give not less than two clear days’ prior notice in writing of such intention or dissent and of the reasons therefore to the solicitors named below. Copies of the Petition and the Independent Actuary’s Report will be furnished by such Solicitors to any person requiring them prior to the making of an Order sanctioning the Scheme on payment of the prescribed charge for the same.
