At an Extraordinary General Meeting of the above-named Company, held at the offices of NMGW, Crown House, 37-41 Prince Street, Bristol BS1 4PS, on 6 November 2001 at 3.00 pm, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up, and that the Company be wound up accordingly and that Nigel Gordon Mullett of NMGW, Crown House, 37-41 Prince Street, Bristol BS1 4PS, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” D C Taylor
