CONEGRADE LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Elwell Watchorn & Saxton, 109 Swan Street, Sileby, Leicestershire LE12 7NN, on 11th April 2001, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Paul Anthony Saxton, of Elwell Watchorn & Saxton, 109 Swan Street, Sileby, Leicestershire LE12 7NN and Roger Neil Marshman, of Marshman & Co., 15 Main Road, Grendon, Northampton NN7 1JW, be and they are hereby appointed Joint Liquidators for the purposes of such winding-up.” G.
