At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the Jarvis Preston Park Hotel, Preston Road, Brighton BN1 6UU, on 29th March 2001, at 1.45 p.m., the following Resolution was duly passed as an Extraordinary Resolution: ‘‘That Copy and Binder Services Limited cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily.’’ N.
