BLACKTHORNE ROAD LIMITED

(formerly Flightmasters/Seamasters (UK) Limited) At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of CF Airfreight (UK), Unit 16, Trident Industrial Estate, Blackthorne Road, Colnbrook, Berkshire SL3 0AX, on Tuesday, 16th January 2001, the following Resolutions were passed, as a Special Resolution and as Extraordinary Resolutions respectively: “That the Company be wound up voluntarily, and that Geoffrey Lambert Carton-Kelly and Andrew John Tate, of Baker Tilly, The Clock House, 140 London Road, Guildford, Surrey GU1 1UW, be and they are hereby appointed Joint Liquidators of the Company for the purposes of such winding-up, and are to act jointly and severally and one may act for the other, that the Liquidators be and are hereby authorised under the provisions of section 165(2) of the Insolvency Act 1986, to exercise the powers laid down in Schedule 4 of the said Act, and that (in accordance with the provisions of the Company’s Articles of Association) the Liquidators are hereby authorised to divide and distribute amongst the Shareholders as appropriate, in specie or in kind, the whole or any part of the assets of the Company.” D.
