Pursuant to section 175 of the Companies Act 1985, Sirius (UK) Insurance Limited (“the Company”) hereby gives notice that: (a) the Company has approved a payment out of capital for the purpose of acquiring £17 million of its own Ordinary Shares by purchase; (b) the amount of the permissible capital payment for the shares in question is £17,000,000 and was approved by a Special Resolution of the Company passed on 3rd January 2001, pursuant to section 173 of the Companies Act 1985; (c) the Statutory Declaration of the Directors and the Auditors report, required by section 173 of the Companies Act 1985, are available for inspection at the Company’s registered office; and (d) any Creditor of the Company may, at any time prior to the date falling 5 weeks after the date of the Resolution for payment out of capital, apply to the court, under section 176 of the Companies Act 1985, for an Order prohibiting the payment.
