At an Extraordinary General Meeting of the above-named Companies held on 28th July 2000, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Companies be wound up voluntarily, and that for the purposes of an administration reduction exercise of The Spring Ram Corporation Plc group of Companies, which will have no effect on the continuing trade of the manufacture of bathrooms and sinks products, and that Gerald Ian Rankin and Nicholas Edward Reed, of PricewaterhouseCoopers, 9 Bond Court, Leeds LS1 2TW, be and are hereby appointed Joint Liquidators of the Companies for the purposes of such winding-up, and any act required or authorised under any enactment to be done by the Joint Liquidators is to be done by all or any one or more of the persons for the time being holding office.” D.
