UNIVERSAL GYM (EUROPE) LIMITED

Notice is hereby given that Annual and Final General Meetings of Members of Universal Gym (Europe) Limited will be held at the offices of Kingston Smith & Partners, Devonshire House, 60 Goswell Road, London EC1M 7AD, on 28th April 2000, at 12 noon, to be followed at 12.15 p.m. by the Annual and Final General Meeting of the Creditors of the Company. The Meetings are called, pursuant to sections 105 and 106 of the Insolvency Act 1986, for the purpose of enabling the Liquidator to present an account showing the manner in which the winding-up of the Company has been conducted in the period to 28th April 2000 and to give any explanation that he may consider necessary. A Member or Creditor entitled to attend and vote is entitled to appoint a proxy to attend and vote instead of them. A proxy need not be a Member or Creditor. Proxies to be used at the Meeting should be lodged at Devonshire House, 60 Goswell Road, London EC1M 7AD, no later than 12 noon on the working day immediately before the Meetings. N. J.
