At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Salisbury House, Station Road, Cambridge CB1 2LA, on 21st January 2000, the following Resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively: “That the Company be wound up voluntarily, and that Shay Lettice, of Peters Elworthy & Moore Insolvency, be and is hereby appointed as Liquidator of the Company for the purpose of the voluntary winding-up, and that, having received the appropriate indemnities, a first distribution of £250,000 be made by the Liquidator to the Members of the Company in accordance with their shareholdings.” T.
