By Written Resolution of all the Members, the following Resolution was passed as an Extraordinary Resolution: “That is has been proved to the satisfaction of the Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that K. D. Goodman, of Leonard Curtis, One Great Cumberland Place, London W1H 8LE, be and he is hereby appointed Liquidator for the purposes of such a winding-up.” M. J. Ruby, Director 24th December 1999.
