At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 29 Quai Du Mont-Blanc, 1201 Geneva, Switzerland, on 19th November 1999 at 8 a.m., the following Special Resolution was passed: “That the Company be wound up voluntarily and that Peter Hall and Duncan Swift of Grant Thornton, 31 Carlton Crescent, Southampton SO15 2EW, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding-up.” G.
