At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Goring Hotel, 15 Beeston Place, London SW1W 0JW, on 11th October 1999, the Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue to trade, and accordingly that the Company be wound up voluntarily, and that Jamie Taylor, of Begbies Traynor, 234 Southchurch Road, Southend-on-Sea, Essex SS1 2EG, be and he is hereby appointed Liquidator for the purposes of such winding-up.” S.
