At an Extraordinary General Meeting of the above-named Company, duly convened, and held at KPMG, 1 Waterloo Way, Leicester LE1 6LP, on 29th July 1999, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Allan Watson Graham, of 1 Waterloo Way, Leicester LE1 6LP, be and is hereby appointed Liquidator for the purpose of such winding-up.” D.
