At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Moore Stephens Booth White, Victory House, Admiralty Place, Chatham Maritime, Kent ME4 4QU, on Wednesday, 21st July 1999, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting, that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily, and that Simon Geoffrey Paterson, of Moore Stephens Booth White, Victory House, Admiralty Place, Chatham Maritime, Kent ME4 4QU, be and is hereby appointed Liquidator for the purposes of such winding-up.” At a subsequent Meeting of Creditors, it was resolved that Simon Geoffrey Paterson, of Moore Stephens Booth White, Victory House, Admiralty Place, Chatham Maritime, Kent ME4 4QU, and Nigel Steven Hill, of PricewaterhouseCoopers, Plumtree Court, London EC4A 4HT, be and hereby are appointed Joint Liquidators for the purpose of such winding-up.
