By Written Resolution of all Members the following Resolution was on 10th May 1999, passed as an Extraordinary Resolution: “That it has been proved to the satisfaction of the Meeting that this Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same, and accordingly that the Company be wound up accordingly and that S. M. Katz, of Leonard Curtis, One Great Cumberland Place, London W1H 8LE, be and is hereby appoint Liquidator of the Company for the purposes of such a winding-up.” G. I. Orr, Director.
