In accordance with article 11.2 of the articles of association of the Company, we, the undersigned, being all the Members of the Company entitled to vote on the following Resolutions resolve as follows: “That Croxton (Holdings) Limited be wound up voluntarily, pursuant to section 84 of the Insolvency Act 1986 (“the Act”) and that David John Pallen, of Ernst & Young, Rolls House, 7 Rolls Buildings, Fetter Lane, London EC4A 1NH, be appointed Liquidator for the purposes of the winding-up of the Company (“the Liquidator”), and that the name of the Company be changed to Countarea Limited.” A.
