Statement by General Partner

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that on 25th November 1998, Procedo Capital Corp. transferred to Emerging Technology Limited and Imsfield International Limited, in equal shares, all of the interest held by it in Pond Ventures, I.L.P., a limited partnership registered in England with number LP5777, and that with effect from such date Procedo Capital Corp. ceased to be a limited partner and Emerging Technology Limited and Imsfield International Limited increased their interest as limited partners in the partnership.
