At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 70 New Cavendish Street, London W1M 8AT, on 29th October 1998, the subjoined Special Resolutions were duly passed:   “That the Company be wound up voluntarily and that Ian Franses of Ian Franses Associates, 24 Conduit Place, London W2 1EP, be and is, with effect from the end of the Meeting, hereby appointed Liquidator for the purposes of such winding-up, and that the said Ian Franses be given general authority to enter into the Allotment Agreements attached hereto for the purposes of section 110 of the Insolvency Act 1986.” G.
