The following Resolution was passed, as a Special Resolution by Members of the above-named Companies on 30th June 1998:   “That the Companies be wound up voluntarily, pursuant to section 94(1)(b) of the Insolvency Act 1986 and that Mark Robert Fry, of Taylor Gotham and Fry, The Old Exchange, 234 Southchurch Road, Southend-on-Sea, Essex SS1 2EG, be appointed Liquidator for the purpose of such winding-up with the power to distribute any assets of the Companies amongst the Members in specie in accordance with the Companies’ Articles of Association.” A.
