At an Extraordinary General Meeting of the Members of the above Company, duly convened, and held at 2 McKay Trading Estate, Kensal Road, London W10 5BN, on 10th June 1998, the following Special Resolutions were duly passed:   “That the Company be wound up as a Members’ Voluntary Liquidation and that Alan Noel Gainsford, of Simmons Gainsford, 7-10 Chandos Street, London W1M 9DE, be and is hereby appointed as Liquidator for the purpose of such winding-up; and that the Liquidator be and is hereby authorised to divide amongst the Members in specie or kind the whole or any part of the assets of the Company.” G.
