At an Extraordinary General Meeting of the Members of the above-named Company held on 12th June 1998, the following written Extraordinary Resolution was duly passed:   “That it has been proved to the satisfaction of the Members that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up, and that the Company be wound up accordingly, and that Michael Barry Davis, of Acre House, 11-15 William Road, London NW1 3ER, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.” Director
