At an Extraordinary General Meeting of the above-named Company, duly convened, and held on 20th February 1998, at 1.10 p.m., the following subjoined Resolutions were duly passed, as a Special Resolution and as an Extraordinary Resolution respectively:   “That the Company be wound up voluntarily as a Members’ Voluntary Liquidation, and that K. W. Touhey, Licensed Insolvency Practitioner, of Morley & Scott, First Floor, 16-17 Boundary Road, Hove, East Sussex BN3 4EF, be and hereby is appointed Liquidator for the purposes of such winding-up.” T.
