This deed is made 20th March 1997 between Keith Banfield, of 6 Paddock Rise, Ingoldsby, Grantham, Lincolnshire, Frederick John Banfield, of 73 Wroxwall Drive, Grantham, Lincolnshire, Stella Banfield, of 6 Paddock Rise, Ingoldsby, Grantham, Lincolnshire, and Jean Banfield, of 73 Wroxall Drive, Grantham, Lincolnshire. Whereas, Keith Banfield, Frederick John Banfield, Stella Banfield and Jean Banfield, have heretofore carried on a Partnership known as GRANTHAM MUSIC CENTRE, with effect from 1st March 1997, Frederick John Banfield, Stella Banfield and Jean Banfield retired from the Partnership. Now this deed witnesseth as follows that with effect from 1st March 1997, Keith Banfield has traded on his own account as Grantham Music Centre from 8 Westgate, Grantham, Lincolnshire. Keith Banfield, covenants with Frederick John Banfield, Stella Banfield and Jean Banfield to pay and discharge and fulfil all debts, liabilities and obligations of Grantham Music Centre with effect from 1st March 1997. Final accounts of the Partnership hereto subsisting between the said Keith Banfield, Frederick John Banfield, Stella Banfield and Jean Banfield, have been drawn up by the accountants of Grantham Music Centre and the retiring partners have received all monies due to them both of a profit and a capital nature. It is hereby certified that the transaction hereby effected does not form part of a larger transaction or of a series of transactions in respect of which the amount or value or the aggregate amount or value of the consideration exceeds £60,000.
