At an Extra-Ordinary General Meeting of the above-named Company, duly convened, and held within the offices of PKF (UK) LLP, 78 Carlton Place, Glasgow G5 9TH, on 4 January 2013, the subjoined Special Resolution was duly passed:

RESOLUTION

1. “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily.”

2. “That Bryan A Jackson, of PKF (UK) LLP, 78 Carlton Place, Glasgow G5 9TH, be appointed Liquidator”.
