At a General Meeting of the above-named Company, duly convened, and held at Titanium 1, King’s Inch Place, Glasgow G51 4BP, on 11 August 2011, the following Special Resolution numbered one and the Ordinary Resolution numbered two were duly passed:

1.  “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up same and, accordingly, that the Company be wound up voluntarily.”

2.  “That Derek Forsyth of Campbell Dallas LLP, Titanium 1, King’s Inch Place, Glasgow G51 4BP be and is hereby appointed Liquidator for the purposes of the winding-up.”
