TROY INCOME & GROWTH TRUST PLC

A petition having been presented to the Court of Session on 18 August 2010 at the instance of Troy Income & Growth Trust plc (the “Company”), a public limited company incorporated under the Companies Acts with registered number SC111955 and having its registered office at 10 St Colme Street, Edinburgh EH3 6AA for confirmation of the cancellation of the Company’s entire share premium account, the Court pronounced the following interlocutor on 1 October 2010:

“1 October 2010

Lord Glennie

The Lord Ordinary, having resumed consideration of the cause and heard Counsel thereon:

1.  Declares that the provisions of subsections (1) to (5) of Section 646 of the Companies Act 2006, do not apply as regards the creditors of Troy Income & Growth Trust plc (company number SC111955) (“the Company”) or any class of them;

2.  Confirms the cancellation of the Company’s entire share premium account resolved upon by special resolution passed on 5 August 2010;

3.  Directs that this Interlocutor together with the undertaking, no 6/24 of process, be registered by the Registrar of Companies;

4.  And on said Interlocutor and Undertaking being registered, Directs notice of such registration of the order to be intimated once in The Edinburgh Gazette, and Decerns.”

Such intimation is hereby given.
