STANDARD LIFE UK SMALLER COMPANIES TRUST PLC

A petition having been presented to the Court of Session on 19 February 2010 at the instance of Standard Life UK Smaller Companies Trust plc (the “Company”), a public limited company incorporated under the Companies Acts with registered number SC145455 and having its registered office at 7th Floor, 40 Princes Street, Edinburgh EH2 2BY for confirmation of the cancellation of the Company’s entire share premium account and capital redemption reserve, the Court pronounced the following interlocutor on 31 March 2010:

“31 March 2010

Lord Malcolm

The Lord Ordinary, having resumed consideration of the Process, no Answers having been lodged and having heard Counsel for the Petitioner:

(i) Approves the report of Mr Paul W Hally dated 29 March 2010;

(ii) Directs that Sections 646(1) to 646(5) the Companies Act 2006 shall not apply as regards the creditors of Standard Life UK Smaller Companies Trust plc (company number SC145455) or any class of them;

(iii) Confirms the cancellation of the Company’s entire share premium account and capital redemption reserve in terms of a special resolution passed on 13th October 2009;

(iv) Directs the Registrar of Companies in Scotland to register this order;

(v) Appoints the registration of the order to be intimated once in the Edinburgh Gazette and Decerns.”

Such intimation is hereby given.
