Statement by General Partner

HERMES PRIVATE EQUITY INVESTMENTS HOLDING 2008 FOUNDER PARTNER L.P.

LIMITED PARTNERSHIPS ACT 1907

Notice is hereby given that, pursuant to section 10 of the Limited Partnerships Act 1907, with effect from 25 February 2009 Khim Tan transferred all of his interest in Hermes Private Equity Investments Holding 2008 Founder Partner L.P. (the “Partnership”), a limited partnership registered in Scotland with number SL6375, to the following persons in the following proportions and that with effect from 25 February 2009 Khim Tan ceased to be a limited partner in the Partnership:

1)  £25.79 of his capital contribution in the Partnership was transferred to Roderick Selkirk;

2)  £7.37 of his capital contribution in the Partnership was transferred to Delaney Brown;

3)  £3.68 of his capital contribution in the Partnership was transferred to Nicola Rutherford;

4)  £7.37 of his capital contribution in the Partnership was transferred to Susan Flynn;

5)  £3.68 of his capital contribution in the Partnership was transferred to Karen Sands; and

6)  £7.37 of his capital contribution in the Partnership was transferred to Harry Lambert and Harry Lambert became a limited partner in the Partnership.
