At an Extraordinary General Meeting of the above-named Company, duly convened and held at Kanalvagen 15, S-183-30, TaBy, Sweden, on 4 January 2006, the following Resolutions were passed:

Extraordinary Resolution pursuant to section 378 (1):

“That it has been proved to the satisfaction of this Meeting that the Company cannot be reason of its liabilities, continue its business and that it is advisable to wind up the same and that accordingly the Company be wound up voluntarily.”

Ordinary Resolution:

“That John H Ferris, CA, of Ferris Associates, Insolvency Practitioners, 12 Edison House, Fullerton Road, Glenrothes, Fife KY7 5QR, be and is hereby appointed Liquidator of the Company.”
