Reduction of Capital

UA GROUP LIMITED

A Petition having been presented to the Court of Session on 26 April 2005 by UA Group Limited, a company incorporated under the Companies Act 1985 under the company number SC037130 and having its registered office at Perth Agricultural Centre, East Huntingtower, Perth PH1 3JJ, for an order confirming a reduction of share capital, the Court pronounced the undernoted interlocutor on 12 July 2005:

“Edinburgh, 12 July 2005.

The Lord Ordinary having resumed consideration of the petition and proceedings, no answers having been lodged, having heard counsel, and on the motion of the Petitioners, Allows the Minute of Amendment to be received and marked no 9 of process; Allows the Petition to be amended in terms thereof; Dispenses with reservice of the petition as so amended; Approves of the report by Mr Julian Voge, WS, no 10 of process; Directs that the provisions of section 136(3) to (5) of the Companies Act 1985 shall not apply to the creditors of UA Group Limited (the Company) or any class of them; Pronounces an Order confirming reduction of the Company’s share capital, resolved on by Special Resolution of the Company dated 7 April 2005; Approves of the Minute as set forth in the petition; Directs the Registrar of Companies to register this Order and said Minute; and on said Order and Minute being so registered, Directs notice of such registration to be intimated once in The Edinburgh Gazette, and Decerns. ”

The Registrar of Companies certified the registration of the said order and minute on 15 July 2005, notice of which is hereby advertised.
