At an extraordinary general meeting of the above-named companies convened and held at Clive House, 12-18 Queens Road, Weybridge, Surrey KT13 9XB, on 15 June 2005 the following Special Resolution was passed:

“That the companies be wound up voluntarily and that Samantha Keen of Grant Thornton UK LLP, 31 Carlton Crescent, Southampton, Hampshire SO15 2EW, be appointed liquidator of the companies for the purposes of the voluntary winding-up”.
