At an Extraordinary General Meeting of the above named company duly convened and held within the offices of Baker Tilly, Chartered Accountants, Breckenridge House, 274 Sauchiehall Street, Glasgow, G2 3EH, on 31st March 2004, the subjoined Extraordinary Resolution was duly passed, viz:

“That the company cannot, by reason of its liabilities, continue to carry on business and that it is advisable to wind up and accordingly, the company be wound up voluntarily.”
