For sanction of a scheme of arrangement and conformation of reduction of capital

On 19th February 2003 a certified copy of the interlocutor of the Court of Session dated 18th February 2003 inter alia (i) sanctioning the scheme of arrangement (the “Scheme”) dated 9th December 2002 between Cairn Energy Plc, a company incorporated under the Companies Acts (registered number SC48610) and having its registered office at 50 Lothian Road, Edinburgh EH3 9BY (the “Company”) and the Scheme Shareholders (as defined in the Scheme); and (ii) confirming the reduction of the Company’s share capital resolved upon by special resolution passed on 13th January 2003 was registered with the Registrar of Companies in Scotland together with (a) a certified copy of the Scheme and (b) a copy of the minute in connection with the said reduction of capital approved by the Court of Session on 18th February 2003.
