Extraordinary Resolution

Of

OAKTREE MARKETING LIMITED

At an Extraordinary General Meeting of the Members of the above-named Company was duly convened and held at 1/9 Castle Arcade, Belfast BT1 5DF on the 8 June 2012 at 12.00 noon and the following Resolutions were duly passed:

1. That the Company be wound up.

2. That Brigid Napier, Solicitor and Licensed Insolvency Practitioner of 1/9 Castle Arcade, Belfast, be the Liquidator.

3. That the remuneration of the Liquidator be fixed by reference to the time properly given by the Liquidator and their staff in attending to matters arising in the winding-up at the agreed rates and be drawn down on a monthly basis.

4. That the Liquidator be and is hereby authorised under the provisions of Section 140 (2) (a) to exercise the powers laid down in Part 1 of Schedule 2 of the Insolvency (Northern Ireland) Order 1989.
