TRANSFER OF GENERAL INSURANCE BUSINESS

TO

AVIVA INSURANCE LIMITED

Notice is hereby given in accordance with section 114 of the Financial Services and Markets Act 2000 (the “ Act ”) that on 10 October 2011 the Court of Session in Edinburgh pronounced an order under sections 111(1) and 112 of the Act:

1 sanctioning a scheme (the “ Scheme ”) under which the general insurance business of: (i) CGU Bonus Limited (formerly GA Bonus Limited, GA Bonus plc, The New Zealand Insurance plc, The New Zealand South British Insurance plc, The New Zealand Insurance Company (U.K.) Limited, The United Scottish Insurance Company Limited, The United Scottish Marine Insurance Company Limited, The United Scottish Herring Drifter Insurance Company Limited), incorporated under the Companies Acts, registered in Scotland (Company Number SC008140) and with its registered office at Pitheavlis, Perth PH2 0NH (“ CGU Bonus ”); and (ii) Scottish Boiler and General Insurance Company Limited (formerly Scottish Boiler Insurance and Engine Inspection Limited), incorporated under the Companies Acts, registered in Scotland (Company Number SC001054) and with its registered office at Pitheavlis, Perth PH2 0NH (“ Scottish Boiler ”) will be transferred to Aviva Insurance Limited (formerly CGU Insurance plc, General Accident Fire and Life Assurance Corporation plc, General Accident Fire and Life Assurance Corporation Limited, The General Accident Assurance Corporation Limited), incorporated under the Companies Acts, registered in Scotland (Company Number SC002116) and with its registered office at Pitheavlis, Perth PH2 0NH (“ Aviva Insurance ”);
2 transferring to Aviva Insurance (under section 112(1)(a) of the Act) with effect from the date on which the Scheme is to take effect, which is expected to be 00:01 on 14 November 2011 (the “ Effective Date ”), the undertaking, property and liabilities of CGU Bonus and Scottish Boiler to which the Scheme applies, which order shall not become effective in respect of any Residual Assets and Residual Liabilities (as defined in the Scheme) until the relevant Subsequent Transfer Date (as defined in the Scheme);
3 ordering (under section 112(1)(c) of the Act) the continuation by, or against, Aviva Insurance of those legal proceedings pending by, or against, CGU Bonus or Scottish Boiler on the Effective Date, as provided for in the Scheme, except that that order shall not become effective in the case of any such legal proceedings relating to any Residual Asset or Residual Liability until the relevant Subsequent Transfer Date; and
4 allowing CGU Bonus, Scottish Boiler and Aviva Insurance to apply to the Court in terms of Section 112(1)(d) of the Act for any orders in relation to such incidental, consequential and supplementary matters as are necessary to secure that the Scheme shall be fully and effectively carried out.

Holders of transferred policies issued by CGU Bonus and/or Scottish Boiler are hereby notified that they may have a right under the law of the EEA State (other than the United Kingdom) in which the risk insured by their policy is situated to cancel their policy as a result of the Scheme. Any such right must be exercised either within a period of 21 days from the date of this publication or within any other period provided by the law of the EEA State concerned (other than the United Kingdom).
