The following special and ordinary resolutions were duly passed by written resolution on 31 August 2010:

Special Resolution

1	That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same, and, accordingly, that the company be wound up voluntarily.
Ordinary Resolutions
2	That I. Scott McGregor & Derek A, Jackson of Begbies Traynor (Central) LLP, 3rd Floor, Finlay House, 10–14 West Nile Street, Glasgow, G1 2PP be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding-up;
3	That any act required or authorised to be done by the joint liquidators may be performed by the joint liquidators for the time that they hold office.
