NOTICE IS HEREBY GIVEN that application has been made by Claim Form dated 16 March 2010 (the “Application”) to Her Majesty’s High Court of Justice by the above-named Standard Life Bank PLC (“SLB”) and Barclays Bank PLC (“Barclays”) for:
1. | the sanction of the Court under Part VII of the Financial Services and Markets Act 2000 (“FMSA”) and in accordance with Regulations made thereunder to a banking business transfer scheme (the “Scheme”) providing for the transfer to Barclays of the Transferred Business (as defined in the Scheme) of SLB, a wholly owned subsidiary of Barclays. The Transferred Business includes, inter alia, SLB’s deposit taking business and the benefit of its loans and mortgages; and |
2. | such other orders (including ancillary orders pursuant to Section 112 of FMSA) as the Court thinks fit. |
The Scheme is being implemented in connection with the combination of the banking businesses carried out by Barclays and SLB following completion of the acquisition of the entire issued share capital of SLB by Barclays on 1 January 2010.
A copy of the Scheme will be sent free of charge to any person who requests it from the address or telephone number set out in the Schedule.
A copy of a statement explaining the proposed Scheme has been posted to SLB’s customers and copies of that statement will also be sent free of charge to any other person who requests them from the address or telephone number set out in the Schedule.
The Claim Form is directed to be heard before a Judge at the Royal Courts of Justice, Strand, London WC2A 2LL on 20 May 2010. Any person (including any employee of Barclays or any employee of SLB) who claims that he or she would be adversely affected by the carrying out of the Scheme may appear at the time of the said hearing in person or by Counsel or may make representations in writing to it. Any person who intends so to appear or intends to make a written representation to the Court is requested to give prior notice in writing of such intention and of the reasons therefor by Monday 17 May 2010 to the solicitors named below.
