Special resolution

of

MAURICE RICE & SON LTD T/A M RICE TRANSPORT

At an extraordinary General Meeting of the Members of the above-named company duly convened and held at Park Plaza Hotel, Belfast International Airport, Belfast, Northern Ireland, BT29 4ZY on the 2nd day of September 2009 the following Special Resolution was duly passed:

No. 1 as a special resolution and No. 2 as an ordinary resolution:–

1.	“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily”.
2.	“That Clive Morris be and he is hereby appointed Liquidator for the purposes of such winding up”.
