NOTICE IS HEREBY GIVEN that a Petition was on 20 September 2007 presented to the High Court of Justice in Northern Ireland for the sanctioning of a scheme of arrangement (the “Scheme”) between UTV plc (the “Company”) and the holders of Scheme Shares (as defined in the Scheme) and confirming a reduction in the capital of the Company on the basis that the entire reserve arising on the proposed reduction of capital will be applied in paying up new share capital immediately upon the proposed Scheme taking effect.

AND NOTICE IS FURTHER GIVEN that the said Petition is directed to be heard at the High Court of Justice in Northern Ireland, Chichester Street, Belfast, BT1 3JF on 12 October 2007 (as to the sanction of the Scheme and the confirmation of the associated reduction of capital).

Any creditor or shareholder of the said Company desiring to oppose the making of an Order for the confirmation of the said sanction of the Scheme and/or reduction of capital should appear at the time of the hearing in person or by Counsel for that purpose.

A copy of the said Petition will be furnished to any such person requiring the same by the under-mentioned Solicitors on payment of the regulated charge for the same.
