WRITTEN RESOLUTION

SARCON (NO. 228) LIMITED

Passed on 29th January 2007. In accordance with Article 389A of the Companies (NI) Order 1986, the following written resolutions are passed as if they had been proposed at a General Meeting of the Company:

Special Resolution

That the Company be wound up as a members voluntary winding-up and that Brigid Napier of Napier & Sons be and is hereby appointed as liquidator (the “Liquidator”).

Ordinary Resolutions

That the Liquidator shall have the powers set out in part 1 of Schedule 2 of the Insolvency (NI) Order 1989.
