N otice is hereby given that on 13 March 2006 “Winterthur” Swiss Insurance Company (“ Winterthur ”) and Tenecom Limited (“ Tenecom ”) applied to the High Court of Justice, pursuant to section 107(1) of the Financial Services and Markets Act 2000 (the “FSMA” ), for an Order sanctioning the transfer to Tenecom of general insurance business of Winterthur’s branch in the United Kingdom. The business to be transferred was originally written by H.S. Weavers Underwriting Agencies Limited on behalf of Winterthur.
Copies of a report on the terms of the scheme (the “ Scheme ”) prepared pursuant to section 109 of the FSMA (the “ Independent Expert’s Report ”) and a statement setting out the terms of the Scheme and containing a summary of the Independent Expert’s Report can be obtained free of charge from the website at www.winterthur.com/weavers, by writing to KMS Insurance Services Limited, America House, 2 America Square, London, EC3N 2LU, United Kingdom, or by emailing winterthur.helpdesk@kmsl.co.uk.
The proposed transfer will result in the business carried on by Winterthur being carried on by Tenecom. The proposed transfer will secure the continuation by or against Tenecom of any legal proceedings by or against Winterthur that relate to rights and obligations in respect of the transferred business. All claims being dealt with before the transfer by Winterthur will, following the transfer, be dealt with by Tenecom; all claims arising after the transfer will be dealt with by Tenecom.
The application is directed to be heard before the Companies Court Judge at the Royal Courts of Justice, Strand, London WC2A 2LL on 12 May 2006 and any person (including any employee of Winterthur or Tenecom) who alleges that he or she would be adversely affected by the carrying out of the Scheme may appear at the time of the said hearing in person or by Counsel. Any person who intends so to appear, and any policyholder of Winterthur or Tenecom who dissents from the Scheme but does not intend so to appear, should give not less than two clear days’ prior notice in writing of such intention or dissent, and the reasons for that intention or dissent, to the solicitors named below.
