At an Extraordinary General Meeting of the Members of the above named Company, duly convened and held at McCambridge Duffy LLP., Templemore Business Park, Northland Road, Derry BT48 0LD on 25 January 2006 at 10:30 am the following resolutions were duly passed; No. 1 as an extraordinary resolution and No. 2 as an ordinary resolution:

1.	“That has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company be wound up voluntarily”.
2.	“That Emma Holmes of McCambridge Duffy LLP., Templemore Business Park, Northland Road, Derry BT48 0LD, be appointed Liquidator for the purpose of such winding-up”.
