Transfer of Insurance Business
NOTICE IS HEREBY GIVEN that Connie Lee Insurance Company (“Connie Lee”) will apply to the High Court of England and Wales on 17 December 2004, pursuant to section 107 (1) of the Financial Services and Markets Act 2000, for an Order sanctioning the transfer to Riverstone Insurance (UK) Limited (“RIUK”) of a discrete book of Connie Lee’s insurance business (the “SIC Business”) and general reinsurances relating thereto. The SIC Business comprises policies written on behalf of Sentry Indemnity Company (“SIC”) from 1968-74 pursuant to an underwriting authority contained in an underwriting agency agreement with Sphere Drake Underwriting Limited and/or Alexander Howden & Swann (Agencies) Limited (later known as Trimark Underwriting Agencies Limited). The SIC Business includes business accepted by SIC as reinsurer under quota share protections of various companies (sometimes including SIC) for whom SDUL and/or related agencies wrote insurance and/or reinsurance business.
Connie Lee was incorporated in 1968 under the name Sentry Indemnity Company (“SIC”). College Construction Loan Insurance Association (“CCLIA”), a US Government Sponsored Enterprise (“GSE”), acquired Connie Lee from SIAMCO pursuant to a stock purchase agreement on 14 August 1987. The Company changed its name from SIC to Connie Lee on 21 January 1988. Connie Lee is presently owned by Connie Lee Holdings Inc.
An actuarial report on the transfer scheme outlined herein has been prepared by Mr Dewi James of James, Brennan and Associates, a Fellow of the Institute of Actuaries whose appointment was approved by the FSA. The report concludes that policyholders will not be adversely affected by the transfer. The proposed transfer will secure the continuation by or against RIUK of any legal proceedings currently carried on by or against Connie Lee that relate to the SIC Business. All claims currently being dealt with by or on behalf of Connie Lee would, after the proposed transfer, continue to be handled by Riverstone Management Limited on behalf of RIUK. Future claims arising under the transferred policies would be similarly dealt with by Riverstone Management Limited on behalf of RIUK.
Any person (including an employee of Connie Lee or RIUK) who considers that he would be adversely affected by the carrying out of the scheme is entitled to be heard by the Court pursuant to section 110 (b) of the Financial Services and Markets Act 2000. The application will be heard on 17 December 2004 in the Companies Court, Royal Courts of Justice, Strand, London WC2A 2LL. If any person intends to be heard at the Court on 17 December 2004 they should give reasonable notice of their intention to Paul Bugden of Clyde & Co at the address cited above.
